Terms and Conditions
These terms apply when a company or organisation uses GoalCube. By creating an account or starting to use GoalCube, you accept the terms and the data processing agreement.
This translation is provided for your convenience. Only the Danish version is legally binding. Read the Danish version
1. The parties
1.1. GoalCube is provided by Goalcube ApS, company registration (CVR) no. 44709805, Ahlmannsvej 19, st., 6400 Sønderborg, Danmark ("GoalCube", "we").
1.2. The customer is the company or organisation that creates an account ("the customer", "you"). GoalCube is sold only to companies and organisations – not to consumers. The person who creates the account confirms that they are authorised to bind the customer.
2. The agreement
2.1. The agreement consists of these terms and conditions, the data processing agreement and the subscription you have chosen. In the event of conflict, the data processing agreement prevails as regards the processing of personal data.
2.2. The agreement is concluded when you create an account or start using GoalCube. No signature is required.
3. The service
3.1. GoalCube consists of GoalCube AI Map (AI inventory, policy, course and AI Act status), GoalCube Data Vault (data in the EU; AI services receive only pseudonyms) and GoalCube Human Decision (a human decides cases about individuals, with a log). What each subscription includes is shown on pricing.
3.2. GoalCube is a tool that helps you follow the AI Act and the GDPR. GoalCube is not legal advice, and we do not promise that your use of AI or personal data is lawful. You are yourselves responsible for your use of AI, for your data and for your own decisions.
3.3. GoalCube works together with the AI service you choose yourselves (for example ChatGPT, Claude, Microsoft 365 Copilot or Mistral). You enter into your own agreement with the AI provider and are responsible for it. We are not responsible for the AI service's responses, availability or processing of data.
3.4. We develop GoalCube continuously and may change, add and remove features. If we remove a significant feature from a paid subscription, you will be notified at least 30 days in advance.
4. Account and users
4.1. A user is a person who uses GoalCube in their AI or decides cases in GoalCube. The AI literacy course does not require a user.
4.2. You ensure that users and access keys (for example passkeys and links) are used only by the right persons, and you notify us if they may have been misused.
5. Prices and payment
5.1. Prices are per company per month and are shown at goalcube.eu/en/pricing/. All prices are exclusive of VAT. For companies in other EU countries with a valid VAT number, the reverse charge applies.
5.2. The subscription is paid in advance for one month or one year at a time, using the payment methods shown when ordering. With annual payment, you get 2 months free.
5.3. If the number of users rises to a higher price tier, the new price applies from the next billing period.
5.4. If payment is not made on time, we may, after a written reminder and a 14-day deadline, suspend access until payment has been made. Data is not deleted while access is suspended, but the agreement may be terminated under clause 6.
5.5. We may change the prices with 30 days' notice, taking effect from the next billing period. You may terminate with effect before then.
6. Term and termination
6.1. The agreement runs until it is terminated. You may terminate your subscription with effect at the end of the paid period (month or year). Payment for a period that has begun is not refunded.
6.2. We may terminate the agreement with 30 days' notice. If a party materially breaches the agreement, the other party may terminate it with immediate effect; this applies, for example, to non-payment under clause 5.4 and misuse under clause 8.
6.3. On termination, your data is deleted in accordance with the data processing agreement. Download the documentation you want to keep (for example the report for supervisory authorities and auditors) before the agreement ends.
7. Your data
7.1. You own your data. We process it only on your behalf and in accordance with the data processing agreement, which you enter into automatically together with these terms.
7.2. We do not use your data for other purposes, do not sell it and do not train AI models on it.
7.3. We may use anonymous, aggregated information about the use of GoalCube (for example the number of registrations), which cannot be traced back to you or to individuals, to operate and improve GoalCube.
8. Acceptable use
You may not:
- use GoalCube for AI practices that are prohibited under Article 5 AI Act,
- upload data that you are not entitled to process,
- attempt to find the real values behind pseudonyms outside GoalCube or to circumvent GoalCube's protection,
- attempt to gain access to other people's data, test the security without agreement or place an unreasonable load on the system.
In the event of misuse, we may suspend access immediately.
9. Operation and availability
9.1. We aim for GoalCube to be available at all times, but we do not promise any specific uptime. Maintenance is announced in the system as far as possible.
9.2. Features marked as test or trial are provided as they are.
10. Liability
10.1. Our total liability is limited to the amount you have paid for GoalCube in the 12 months preceding the damage. For free subscriptions, liability is limited to EUR 0, to the extent permitted by law.
10.2. We are not liable for indirect losses, for example loss of profit, business interruption, loss of data that could have been avoided with ordinary backup on your side, or fines imposed on you.
10.3. We are not liable for the responses of AI services or for your decisions – including decisions made on the basis of the AI's recommendations.
10.4. The limitations do not apply in the event of intent or gross negligence.
10.5. Neither party is liable for circumstances beyond its control (force majeure), for example power failure, war, attacks on the internet or failures at subcontractors, which the party could not foresee or avoid.
11. Rights
GoalCube, including software, texts, templates, course and design, belongs to us. You receive a non-exclusive right to use GoalCube in your business for as long as the agreement runs. You may freely use texts that GoalCube creates for you (for example an AI policy and templates) in your own business.
12. Confidentiality
Each party keeps the other party's confidential information confidential, also after the agreement has ended.
13. Changes to the terms
We may change the terms with 30 days' notice by email and in the system. Changes in your favour or due to legal requirements may be made at shorter notice. If you use GoalCube after the changes take effect, you accept the new terms; otherwise you may terminate with effect before then.
14. Governing law and disputes
The agreement is governed by Danish law. Disputes are settled by the Danish courts, with the court for GoalCube's place of business as the court of first instance.
